These terms and conditions govern your use of the Verdant website and your engagement with Verdant's financial education and advisory services. Please read them carefully. By accessing this website or enquiring about our programmes, you agree to be bound by these terms.

1. Definitions

In these terms, the following words have the meanings given below:

  • "Verdant", "we", "us", "our" — the business operating under the name Verdant, based at 87 Ratchadamri Road, Lumphini, Pathum Wan, Bangkok 10330
  • "Website" — the website accessible at the domain associated with Verdant
  • "Services" — the financial education workshops and advisory programmes offered by Verdant
  • "You", "User" — any individual accessing the website or engaging with our services
  • "Programme" — any specific workshop or advisory engagement offered by Verdant
  • "Agreement" — these terms and conditions, together with any programme-specific confirmation

2. Acceptance of Terms

By using this website or submitting an enquiry, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.

3. Description of Services

Verdant provides financial education and advisory services in Bangkok, Thailand. Our current programme offerings are:

  • Tax Planning & Literacy Workshop — a four-session group workshop covering personal income tax under Thai law
  • Wealth Structuring Advisory — a private, multi-session engagement covering asset review, insurance, estate considerations, and savings structures
  • Financial Wellness for Organisations — a customisable on-site programme series for employers and their teams

All services are educational in nature. Verdant does not provide regulated financial advice, investment recommendations, or tax return preparation services. Participants are encouraged to consult appropriately qualified professionals for specific advice relevant to their circumstances.

4. Enquiries and Bookings

Submitting an enquiry through our website does not constitute a confirmed booking. A programme engagement begins when both parties have agreed in writing (including by email) on the scope, schedule, and fee. Verdant reserves the right to decline any enquiry at its discretion.

5. Fees and Payment

Programme fees are as published on the Verdant website at the time of enquiry. Fees are denominated in Thai Baht (฿). Payment terms will be confirmed at the time of booking. We accept bank transfer as our standard payment method. All fees are inclusive of any materials provided as part of the programme unless otherwise stated.

For organisational programmes, invoicing arrangements can be discussed with the HR or procurement contact at your organisation.

6. Cancellation and Rescheduling

Cancellation by the participant or organisation

  • Cancellations made more than 7 days before the first scheduled session: full refund of any deposit paid
  • Cancellations made 3–7 days before the first session: 50% of the total programme fee is due
  • Cancellations made fewer than 3 days before the first session, or after the programme has commenced: full fee is due

Cancellation by Verdant

If Verdant cancels a scheduled session, we will make reasonable efforts to reschedule at a mutually convenient time. If rescheduling is not possible, any fee paid for the cancelled session will be refunded in full.

Rescheduling

Requests to reschedule a session must be made at least 48 hours in advance. We will accommodate reasonable rescheduling requests where our schedule permits.

7. Conduct and Participation

Participants are expected to engage in a respectful and constructive manner during all sessions. Verdant reserves the right to end an engagement without refund if a participant engages in conduct that is disruptive, abusive, or otherwise incompatible with the educational environment.

8. Intellectual Property

All materials provided during or in connection with Verdant programmes — including written summaries, workbooks, reference documents, and presentation slides — are the intellectual property of Verdant unless otherwise stated. You are granted a personal, non-exclusive licence to use these materials for your own reference. You may not reproduce, distribute, or publish these materials without prior written consent from Verdant.

All content on the Verdant website, including text, layout, and visual elements, is owned by or licensed to Verdant. No part of the website may be reproduced without written permission.

9. Confidentiality

Verdant treats all personal financial information shared during advisory sessions as strictly confidential. We will not disclose this information to any third party except as required by law or with your explicit consent. You acknowledge that information you share during group workshop sessions may be heard by other participants, and you should be mindful of the detail you choose to share in that setting.

10. Disclaimers

Verdant's programmes are educational in nature and are intended to improve participants' understanding of financial concepts. Nothing provided in our programmes constitutes regulated financial advice, tax advice, legal advice, or investment recommendation.

While we take care to ensure the accuracy of the content we provide, we make no representation that workshop content will be suitable for every individual's specific circumstances. Participants should exercise their own judgement and, where appropriate, consult qualified professionals before making financial decisions.

The website and its content are provided on an "as is" basis. We make no warranties regarding the completeness, accuracy, or availability of the website.

11. Limitation of Liability

To the fullest extent permitted by Thai law, Verdant's liability to any participant or organisation arising from the provision of services shall not exceed the total fee paid for the specific programme giving rise to the claim. Verdant shall not be liable for any indirect, consequential, or incidental loss, including loss of income, loss of savings, or reputational harm, arising from participation in our programmes or reliance on our educational materials.

12. Indemnification

You agree to indemnify and hold Verdant harmless from any claim, loss, or expense arising from your breach of these terms, your misuse of our materials, or any representation you make to third parties based on programme content.

13. Termination

Either party may terminate a programme engagement by providing written notice. The cancellation terms in Section 6 will apply. Verdant reserves the right to terminate an engagement immediately in cases of misconduct or breach of these terms, without obligation to refund fees already due.

14. Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through informal discussion. If resolution cannot be reached within 30 days, disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand. These terms are governed by the laws of the Kingdom of Thailand.

15. General Provisions

  • Entire agreement: these terms, together with any programme confirmation, constitute the entire agreement between the parties in relation to the services
  • Severability: if any provision of these terms is found to be unenforceable, the remaining provisions continue in full force
  • Waiver: failure by Verdant to enforce any provision of these terms does not constitute a waiver of that provision
  • Assignment: you may not assign your rights under these terms without written consent from Verdant

16. Changes to These Terms

Verdant may update these terms from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of the website after changes are posted constitutes acceptance of the updated terms. For ongoing programme engagements, material changes will be communicated directly.
